Draft for legal review — not yet legal advice
These Terms are an agreement between you and [Legal entity name TBC] (ABN [TBC]) ("Goodo", "we", "us") about your use of the Goodo app, website and related services (the "Service"). Please read them with our Community Guidelines, Privacy Policy and Verification Policy, which form part of this agreement. If you do not agree, do not use the Service.
You can ask for these Terms in Easy Read or another accessible format at any time.
1. What Goodo is, and is not
1.1 Goodo is a short-form video community for people connected to the National Disability Insurance Scheme (NDIS): participants, nominees and carers, and providers who have been through our verification process.
1.2 Goodo is not an NDIS provider. We do not provide supports or services to anyone, and we are not a registered NDIS provider. We are not part of, and are not endorsed by, the National Disability Insurance Agency (NDIA) or the NDIS Quality and Safeguards Commission.
1.3 Goodo is not a marketplace. We do not introduce parties for a fee, arrange, manage or take bookings, set prices, hold money, process payments between users, or take any fee or commission when a participant chooses a provider. Agreements for supports are made directly between a participant (or their nominee) and a provider, away from Goodo.
1.4 No bookings or payments on Goodo. You must not use the Service to take payments or bookings from participants, or to ask for bank details, card details or login credentials.
1.5 No advice. Content on Goodo is created by users. It is not professional, legal, financial, medical or NDIS advice, and we do not check it for accuracy. Talk to your support coordinator, plan manager, health professional, the NDIA or an independent advocate before relying on anything you see here.
1.6 A "Verified" badge means we checked certain things on a certain date, as set out in the Verification Policy. It is not an endorsement, a recommendation or a promise about the quality or safety of any person or service. You are responsible for deciding who you deal with.
2. Who can use Goodo
2.1 You must be at least 16 years old. We confirm this through our identity verification process. We do not store your date of birth.
2.2 You must live in Australia, or be connected to the NDIS. [Confirm whether non-resident carers or providers may join.]
2.3 If you are under 18, you confirm that you have considered these Terms and, where you need help to understand them, have had someone you trust help you. [Whether parent or guardian consent is required for 16 and 17 year olds is to be confirmed by counsel.]
2.4 People younger than 16 cannot hold an account. A parent, guardian or nominee may hold a nominee or carer account on behalf of a younger participant, but must not post content that identifies the child or share the child's private information (see the Under-16 Position).
2.5 You must not use the Service if you have been banned from it.
3. Your account
3.1 You must give true and complete information and keep it up to date.
3.2 You must choose one primary role: participant, nominee, carer or family member, plan manager, support coordinator, support worker, sole trader, provider staff, or allied health professional. You must pick the role that is true.
3.3 You must keep your sign-in details safe and tell us straight away if you think someone else has accessed your account. You are responsible for what happens on your account.
3.4 One person, one account. Do not share your account or create accounts to avoid a restriction, suspension or ban.
3.5 Verified roles. To post videos and take part in groups, events and location discovery, you need a live badge for your role. Badges are granted, kept and removed according to the Verification Policy. We may refuse, suspend or remove a badge if you do not meet the requirements, if a credential expires, or if we find the information you gave us was false or misleading.
3.6 You can pick a pseudonym as your display name and handle. You may not use a name that impersonates someone else or is misleading about your role.
4. Acceptable use
4.1 You must follow the Community Guidelines. In particular, you must not:
- harass, threaten, abuse, discriminate against or exploit anyone
- post sexual content, or content that harms or endangers children
- post content that encourages self-harm or violence
- share another person's private information, or film or share content showing a person without their consent
- impersonate any person or organisation or misrepresent your role, qualifications, registration, screening or insurance
- use the Service for scams, fraud, spam, phishing or unlawful purposes
- offer or accept inducements, referral fees or kickbacks, or hide paid promotion
- scrape, copy or harvest data, or build lists of participants
- try to break, probe or overload the Service, or get around its safety features, including blocking, location rules and message rules
- use the Service to contact someone who has blocked you or closed a conversation
4.2 Direct messages. Providers (plan managers, support coordinators, support workers, sole traders, provider staff and allied health professionals) cannot start a conversation with a participant, nominee or carer. The participant side must write first. You must not try to avoid this rule.
4.3 We may take any action described in the Community Guidelines and Moderation Policy, including removing content, giving warnings or strikes, restricting or suspending accounts, revoking badges, banning accounts, and referring matters to the NDIS Quality and Safeguards Commission, police, the eSafety Commissioner, AHPRA or other authorities.
5. Your content, and the licence you give us
5.1 You own the content you post (videos, captions, comments, messages, images and anything else), subject to the rights of any other person in it. You are responsible for it.
5.2 You promise that you have the right to post your content, that it does not infringe anyone's rights (including privacy, copyright and moral rights), that every identifiable person in it has consented, and that it follows our Community Guidelines.
5.3 You give us a non-exclusive, royalty-free, worldwide licence, for as long as your content is on the Service, to host, store, reproduce, transcode, caption, display, distribute and make your content available to other users in accordance with your settings, and to scan and review it for safety. This licence is only so that we can run the Service. We will not use your content in advertising or sell it, and we will not use it to train artificial intelligence systems without asking you first. [Confirm AI training position.]
5.4 Your content is shown according to the visibility you choose. Other users may be able to see and engage with it. If you share content with a group, group members can see it. Be careful what you share.
5.5 Removing content. You can delete your content at any time. After deletion, it will be removed from the Service and deleted according to our Data Retention Schedule. Copies in other users' downloads, or content others have quoted or replied to, may remain. We may keep copies of removed content where needed for safety, legal or evidence reasons (see the Privacy Policy).
5.6 Captions. All videos must have captions. We generate automatic captions and you can edit them. If captions are missing, your video will not be published. Please check your captions are accurate.
5.7 We may remove content or restrict it if it breaks these Terms or the law, or if we need to in order to protect someone.
5.8 Reporting copyright. If you believe content infringes your copyright, tell us at [legal contact email TBC] and we will review it.
6. Obligations of providers and workers
If you use Goodo in a role as a plan manager, support coordinator, support worker, sole trader, provider staff member or allied health professional, you also agree that:
6.1 Code of Conduct. You are bound by the NDIS Code of Conduct when you act in your role, and you will follow it on Goodo. We apply it as described in the Community Guidelines.
6.2 Registration and screening. You will keep the registrations, clearances, qualifications and approvals you told us about up to date, and you will tell us within 2 business days if any of them is suspended, withdrawn, conditioned, expires or no longer applies. [Timing to be confirmed.]
6.3 Insurance. You will hold the insurance your role requires (such as public liability and professional indemnity), and keep it current. [Counsel to confirm wording about requirements and employer cover.]
6.4 Truthful claims. You will only make accurate, supportable claims about yourself, your organisation, your services, pricing, funding and outcomes. You will not describe yourself as "NDIS approved" or endorsed by the NDIA. You will say you are a registered NDIS provider only if you appear on the NDIS Provider Register for the registration groups you claim.
6.5 Disclose conflicts of interest. If you are a plan manager or support coordinator, or you hold any role where you influence a participant's choice of provider, you will disclose any ownership, financial or other interest in a service you mention, recommend or promote, and you will not steer participants towards a service in which you or a related party have an interest without clear disclosure and the participant's free choice. See the Conflict of Interest Statement.
6.6 No inducements or referral fees. You will not offer or accept gifts, discounts, payments, commissions or other benefits to influence a participant's choice of provider, or for referrals. Goodo does not charge referral fees and no fee you pay us is for introductions, leads or bookings.
6.7 Paid placement. Any content you pay to promote must be labelled as paid placement. You will not remove or disguise the label.
6.8 Participant information. You will not share personal information about participants you support or have supported, except as the law requires.
6.9 Cooperation. You will respond to our reasonable requests to confirm your credentials and will cooperate if we investigate a report.
6.10 Fees. If we charge providers for features such as verification administration, listing or promotion, the fee and what it covers will be shown to you before you pay. Fees do not buy a badge. A badge is granted only if the requirements are met, and paying a fee does not influence a verification, moderation or ranking decision except for clearly labelled paid placement. Consumer guarantees under the Australian Consumer Law apply to what you buy from us (see section 10). [Provider subscription terms to be added before any paid plan launches.]
7. Safety features and how we use them
7.1 You can report content and people, block people, mute, close conversations and limit comments. We will review reports under our Moderation Policy.
7.2 Private messages. We do not browse private messages. Our staff can read a conversation only if it has an open report or contains a message flagged by our automated filters. Messages may be automatically scanned for risk patterns (for example, phone numbers, bank details, demands for direct payment, and sexual content markers).
7.3 If we think someone may be at risk of serious harm, we may share information with emergency services, police, the NDIS Quality and Safeguards Commission, the eSafety Commissioner or other authorities, as the Privacy Policy explains.
7.4 Goodo is not an emergency service. If you or someone else is in danger, call 000.
8. Suspension, termination and deleting your account
8.1 You can stop using the Service and delete your account at any time in the app. We will delete your information as the Privacy Policy and Data Retention Schedule describe.
8.2 We may restrict, suspend or end your access, remove content, or revoke a badge if we reasonably believe you have breached these Terms, the Community Guidelines or the law, if a credential has expired or been found false, if you pose a risk to others, or if the law or an authority requires. We will usually tell you why. We may act without notice where there is a risk of serious harm.
8.3 You can appeal our decisions within 7 days under the Moderation Policy.
8.4 If we end your access without a breach by you (for example, because we close the Service), we will give reasonable notice where we can and will help you get a copy of your own content.
8.5 Sections that by their nature should continue after termination (for example, 5, 9, 10, 11 and 12) will continue.
9. Our intellectual property
Goodo and its software, design, trademarks and content (other than your content) belong to us or our licensors. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. You must not copy, modify, reverse-engineer or resell it, except as the law allows.
10. Australian Consumer Law and liability
10.1 Nothing excludes your rights under the Australian Consumer Law. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Nothing in these Terms limits or excludes any right or remedy that cannot lawfully be limited or excluded.
10.2 Subject to 10.1, and to the extent the law allows:
- the Service is provided "as is", and we do not promise it will be uninterrupted or error-free
- we are not responsible for user content, or for the acts or omissions of users, providers or workers, including the quality, safety or legality of any support or service you arrange away from Goodo
- we are not responsible for decisions you make based on content on the Service
- we are not liable for loss that was not reasonably foreseeable, or for indirect or consequential loss
- our total liability to you for any claim is limited to [the amount you paid us in the 12 months before the claim, or AUD 100 if you paid nothing — to be confirmed by counsel]
10.3 Where the law allows us to limit our liability for a breach of a consumer guarantee, we limit it to resupplying the service or paying the cost of having it resupplied.
10.4 Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraud.
10.5 You agree to be responsible for any loss we suffer because you breached these Terms or the law, except to the extent we caused or contributed to the loss. [Counsel to review fairness to consumers, including under the unfair contract terms provisions of the Australian Consumer Law.]
11. Privacy and data
How we handle personal information is in the Privacy Policy. By using the Service, you agree to that handling, including the sensitive-information consents you give at sign-up.
12. Changes, notices and general terms
12.1 Changes. We may update these Terms. We will give you reasonable notice of significant changes in the app or by email, and will show you what changed. If you keep using the Service after the change starts, you accept it. If you do not agree, you can delete your account.
12.2 Notices. We may give you notice in the app, by email or by SMS. You may contact us at [support email TBC].
12.3 Complaints. If you have a complaint about Goodo, tell us at [support email TBC]. We will acknowledge within 3 business days and aim to respond within 21 days. You can also contact the relevant regulator or ombudsman, or an independent advocate.
12.4 Entire agreement. These Terms and the documents they refer to are the whole agreement between us about the Service.
12.5 Severance. If any part of these Terms is found unenforceable, the rest continues.
12.6 Waiver. If we do not enforce a right straight away, we do not lose it.
12.7 Assignment. You may not transfer your rights. We may transfer ours as part of a business sale or restructure, with notice to you.
12.8 Governing law. These Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
